The engine and transmission will bolt up, but you'll probably end up with 1 forward gear and 6 in reverse... the transmission is spun 180 degrees in the 996.
I've read that the main difference in the G86-20 transmission between 986 & 996 applications is the ring & pinion are installed on opposite sides of the transmission.
Best to just swap over the engine and stay with your 5 speed, or locate a Boxster 6 speed and use that.
