Yes, it will work fine as a direct swap.

Ever since I almost bought (but didn't) an 01 with a bad Tip' I have been interested in this general topic. I have no first hand knowledge, so I when I say: "Yes, it will work fine as a direct swap", I'm actually making up stories and should not be trusted.

So, read this: http://www.renntech.org/forums/topic/33382-tiptronic-transmission-swap-in-986/

Look through this: http://www.zf.com/media/media/document/int_print_catalogs_documents/usa_4/5hp19flporsche.pdf
Paying particular attention to the differences in parts between the various ZF HP19FL part # (1060 030 __ ) as displayed in the table on page 4.

Then hit up the VW forums and Audi Forums for good measure. VW Passat Forums : Volkswagen Passat Forum has some pretty knowledgeable members. Just watch out for the BMW forums. They like to pretend they know stuff even though they are guessing.
...So yes, I'm sure it will work fine, plug-n-play.
