regarding the warranty..

if you're only going to keep it for 3 years, then the issue is mute, right? You'll probably still have some warranty on it to sign over to the new owner.

If you really need the full 4 years or more, the dealer should be able to come up with an extended warranty of some kind for the term you need. It may cost both of you something but you'll have the car and he'll have moved inventory.

regarding comparable pricing, even if the invoices are close, I'd suspect he'd be willing to take less margin on the car he's been sitting on vs. a slot that hasn't been filled yet. Not much margin on a base car compared to an S with lots of gingerbread on it. Hope you get the '05'.
