It means that the O2 sensor downstream (so the o2 sensor after the cat) is sensing improper readings. This could be due to cat issues, air leak (like loose gas cap) or the sensor itself is flakey... If its reading correctly it could be a number of things...BUT... I would try a simple swap of the rear O2 sensors, clear the code and see if the problem moves to the other bank. Bank 1 should be the passenger side, Bank 2 should be the driver side...
Others may have a better solution :-)
