Last I knew, all the exhausts for the 2.7 and 3.2 liter cars used the same mounting points and plumbing, so this should not be a problem. I know the 2.5 liter exhausts are different.

Can anyone confirm this, as I've found an 04 S exhaust that I'd like to swap onto my 02 S?
